Terms of Service

1. Acceptance of Terms

By accessing or using UnitySave ("the Service"), operated by Sorfir Associates ("Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Sorfir Associates ("we," "our," or "us").

2. Description of Service

UnitySave is a platform that facilitates Rotating Savings and Credit Associations (ROSCAs), also known as savings circles. The Service allows users to create and join savings groups, make regular contributions, and receive payouts on a rotating basis.

3. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your legal first and last name, a valid email address, a valid phone number (verified via SMS), your country of residence and mailing address, and a secure password.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Identity Verification (SMS & Email)

As part of the registration process, you are required to verify your identity via a one-time verification code sent by SMS or email. By providing your phone number or email address, you consent to receive SMS or email verification codes for account registration, authentication, and account recovery, plus essential security-related notifications.

These SMS messages are transactional in nature and necessary for the operation of the Service. Standard message and data rates from your mobile carrier may apply. SMS services are provided through Twilio, a third-party communications platform.

You may opt out of non-essential SMS communications by contacting our support team. However, certain transactional messages (such as verification codes) are required for account functionality and cannot be opted out of while maintaining an active account.

6. Savings Circles

6.1 Creating and Joining Circles

Users may create savings circles and invite other users to join. By creating or joining a circle, you commit to the contribution schedule and terms established for that circle.

6.2 Contributions

Members of a savings circle agree to make regular contributions at the specified amount and frequency. Failure to make contributions on time may result in consequences as determined by the circle's terms and the Auto-Guarantee Policy.

6.3 Payouts

Payouts are distributed on a rotating basis as determined by the payout order established at circle creation. Each member receives the pooled contributions once per cycle.

6.4 Auto-Guarantee Policy

By joining a savings circle, you agree to the Auto-Guarantee Policy, which ensures that all members fulfill their contribution obligations. This policy protects all circle members and helps maintain the integrity of the savings circle system.

7. Invitations

Circle creators may invite others to join their savings circles by email address. For invitees who are not yet registered on UnitySave, a signup link will be generated. By sending an invitation, you confirm that you have a legitimate reason to invite the recipient and that you are not using the invitation system for spam or unsolicited messaging.

8. Prohibited Conduct

You agree not to: provide false or misleading information during registration; use the Service for any illegal or unauthorized purpose; interfere with or disrupt the Service or its infrastructure; attempt to gain unauthorized access to other users' accounts; use the invitation system to send unsolicited or spam messages; create multiple accounts to circumvent registration limits; or intentionally default on savings circle contribution obligations.

9. Intellectual Property

The Service, including its design, features, content, and branding, is owned by Sorfir Associates and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Sorfir Associates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Sorfir Associates acts as a platform facilitator and is not responsible for the financial obligations between circle members.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Any outstanding financial obligations within savings circles must still be fulfilled.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law provisions.
